CleanCore Solutions Inc. has significantly expanded its share count through a recent $100 million public offering, a move designed to fuel its strategic pivot from traditional cleaning products and Dogecoin treasury assets into AI infrastructure development in Minnesota. The company disclosed in an August 20th SEC filing that its common shares outstanding surged from 226,260,684 to 502,090,260 following the issuance of 275,829,576 offering shares. This represents an increase of approximately 121.9% in the company’s fully diluted share count, a figure that could grow even larger should outstanding warrants be exercised. The final prospectus related to this offering provided the pre-offering base number, underscoring the magnitude of this recent dilution.

This immediate increase in shares already represents dilution that has been realized by existing shareholders. However, the situation is further complicated by the presence of substantial unexercised warrants, which could introduce an additional 524.2 million shares into the market. This places CleanCore in a precarious position, where its market valuation could be significantly impacted by future share issuances.

Warrants Looming: A Potential for Further Dilution

Beyond the shares already issued, CleanCore has also granted pre-funded warrants covering 124,170,424 shares and investor warrants that could allow for the purchase of up to 400 million additional shares. If all of these offering warrants were to be exercised under their stated terms, the total number of shares related solely to this offering could ascend to an astonishing 1,026,260,684. This figure excludes other potential dilutive instruments such as stock options, restricted stock units, and existing warrants, painting a picture of significant future dilution risk.

If all investor warrants are exercised for cash, they could provide CleanCore with an additional $100 million in gross proceeds. However, the exercise of these warrants is subject to ownership limitations and other adjustments, meaning the actual number of shares issued upon exercise may differ from the maximum stated.

CleanCore’s AI Pivot and Funding Gaps

CleanCore announced the closing of its $100 million public offering on August 12th. While the company reported gross proceeds of approximately $100 million, the prospectus details an $8 million placement and advisory fee. The net proceeds are estimated to be around $92 million, though the exact cash received at closing has not been definitively stated in all disclosures.

This estimated $92 million in net proceeds from the offering faces a substantial funding requirement for CleanCore’s ambitious joint venture in Minnesota, which has an initial budget of $479 million. The offering proceeds are earmarked for various purposes, including working capital, capital expenditures, general corporate uses, and potential costs associated with divesting its cleaning business. Crucially, these funds are not exclusively allocated to the Minnesota AI infrastructure project, suggesting that the proceeds may not fully cover the venture’s initial capital needs.

A joint-venture filing indicated an initial investment of $40 million for the Minnesota project, comprising $25 million at the venture’s closing and up to an additional $15 million within four business days, contingent on budget requirements. However, neither of these payments has been formally documented in subsequent disclosures.

Subsequently, CleanCore stated it had approximately $140 million in project equity, described as "funded or committed," which included offering proceeds and funds from completed Dogecoin sales. However, these disclosures do not reconcile the total figure, differentiate between funded cash and committed funds, or confirm that the venture’s contribution schedule has been met.

The company has not provided details on any remaining Dogecoin holdings or indicated if the tokens were pledged as collateral.

Prior to these recent financial activities, CleanCore’s financial health was a point of concern. As of its March 31st balance sheet, the company reported $4.1 million in cash and cash equivalents, alongside $13 million in restricted cash. No subsequent disclosures have provided an updated cash balance following the Dogecoin sale and the recent public offering.
